Terms of Service

1. Acceptance

By accessing or using GEMIO ("the Platform"), you agree to these Terms of Service. If you do not agree, do not use GEMIO. These terms are governed by the laws of Ontario, Canada.

2. What GEMIO is

GEMIO is a local business discovery marketplace where small business owners ("Sellers") can create shop profiles and where consumers ("Shoppers") can find, review, and purchase from those businesses. GEMIO uses AI to help Sellers import content from social media platforms.

3. Shopper terms

  • You may browse GEMIO without creating an account
  • Purchases are final unless the Seller offers a refund — GEMIO is not responsible for the quality of goods or services sold by Sellers
  • Community votes (❤️ and 👍) are for discovery only and do not constitute endorsements by GEMIO
  • You may not manipulate votes, rankings, or reviews

4. Seller terms

  • You must own or have legal authority to list the business and content you publish
  • You grant GEMIO a non-exclusive licence to display your content and business information on the Platform
  • You authorise GEMIO to import public content from social media accounts you connect — you may revoke this at any time
  • Your content must be accurate, legal, and not misleading
  • GEMIO may remove listings that violate these terms at any time

5. Commission and fees

  • Marketplace commission: 5% of each transaction processed through GEMIO Checkout (powered by Stripe)
  • Free tier: Basic listing with no monthly fee — commission only
  • Starter plan ($19/month): AI content sync, priority placement
  • Pro plan ($49/month): All Starter features plus advanced analytics, custom shop domain, and priority support
  • Stripe processing fees (~2.9% + $0.30) are charged separately by Stripe and not collected by GEMIO

6. Featured Spotlight programme

  • GEMIO may feature selected Instagram or other social media pages in the Community Spotlight section at no charge to the featured account owner
  • Featuring requires express written permission from the account owner (email or DM)
  • GEMIO will provide an engagement report after each 14-day spotlight period
  • GEMIO may decline or remove any account from the Spotlight at its discretion

7. Prohibited content

You may not list or promote: illegal goods or services, counterfeit products, content that infringes intellectual property rights, adult-only content without age verification, or anything that would reasonably be considered harmful, hateful, or deceptive.

8. AI-generated content

GEMIO uses AI to generate shop descriptions and product listings based on your social media content. You are responsible for reviewing and approving all AI-generated content before it goes live. GEMIO is not liable for inaccuracies in AI-generated descriptions.

9. Limitation of liability

GEMIO is provided "as is." To the maximum extent permitted by law, GEMIO shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform. GEMIO's total liability shall not exceed the fees you paid to GEMIO in the 12 months preceding the claim.

10. Termination

You may delete your account at any time. GEMIO may suspend or terminate accounts that violate these terms. Upon termination, your public listings will be removed within 48 hours.

11. Changes to terms

We will notify registered Sellers by email 30 days before any material changes. Continued use of GEMIO after that date constitutes acceptance of the new terms.
